Notice of Nomination Period for Director Elections at the 2025 Annual Meeting of Members
TAKE NOTICE that the Nomination Period during which the Nominating Committee of the Board of Directors of Ukrainian Credit Union Limited (the “Credit Union” or “UCU”) will accept completed nomination forms from qualified member candidates for election to the Board of Directors is January 20, 2025 to February 7, 2025.
The following Director positions are open for election at the Credit Union’s 2025 Annual Meeting of members:
- four (4) Directors each to be elected for a three-year (3-year) term ending 2028.
Nomination forms may be obtained by qualified member candidates as of January 20, 2025 from any Credit Union branch or on the Credit Union’s website at ukrainiancu.com/annual-meeting. Member candidates must be qualified in accordance with section 4.02 of the Credit Union’s By-law No. 1.
Completed nomination forms fulfilling the requirements for a valid nomination in accordance with section 7.16 of the Credit Union’s By-law No. 1 must be delivered personally or by mail to the Head Office of the Credit Union no later than 2:00 p.m. EST on February 7, 2025 and addressed to:

By-law No. 1 – Section 4.02 Qualification Only a natural person who, as of the end of the Nomination Period: (a) is a member of the Credit Union in full compliance with the minimum membership share requirements contained in section 2.03 [of By-law No. 1]; (b) has been a member of the Credit Union, or of a credit union the assets of which have been purchased by the Credit Union, for at least two (2) continuous years; (c) is at least eighteen (18) years of age; (d) is a Canadian citizen or a person lawfully admitted to Canada for permanent residency and ordinarily resident in Canada; (e) along with his or her connected persons, as that phrase is defined in the Act, have been members In Good Standing of the Credit Union, or of a credit union the assets of which have been purchased by the Credit Union, continuously for the lesser of six (6) months and the period of actual membership; (f) is not a director or officer of another credit union, unless he or she is a director of a credit union which has entered into a binding asset purchase agreement with the Credit Union which has not either closed or been terminated prior to closing; (g) if an incumbent director, has not failed, without being excused, to attend regular meetings of the directors for three (3) consecutive months during the preceding twelve (12) months; (h) has served as a director of the Credit Union for not more than twelve (12) consecutive years; (i) is not disqualified under the Act or Authority Rule, including, by virtue of being disqualified by section 84 of the Act or section 29 of O. Reg. 105/22 (General); (j) has disclosed to the Board, in a timely fashion before the election in which the natural person is a candidate is held, everything he or she is required by the Act to disclose as a candidate for director of a credit union; and (k) has been nominated in accordance with section 7.16 [of By-law No. 1]; is eligible to be a director of the Credit Union. |
By-law No. 1 – Section 7.16 Validity of Nominations Nominations, to be valid, must be: (a) in the form prescribed by the Nominating Committee, which form may be obtained from any office of the Credit Union during the Nomination Period, and, in particular, without limiting the generality of the foregoing, will require the nominee to specify if he or she is seeking a position to which section 4.01(b) [of By-law No. 1] applies, and, if so, which position; (b) in the case of nominations from the general membership, received by the nominating committee or its appointed agent during the Nomination Period. A nomination may be delivered personally to the nominating committee’s appointed agent at the head office of the Credit Union, or mailed by prepaid ordinary mail or registered mail addressed to the Chair of the nominating committee at the head office of the Credit Union; (c) signed by two (2) members of the Credit Union who themselves would qualify for election to the Board under section 4.02 [of By-law No. 1], and by the nominee, and, for the purposes of this paragraph, the two (2) members signing may be members of the nominating committee; and (d) accompanied by the undertaking referred to in section 7.18 [of By-law No. 1]. |
*The functions of the Nominating Committee are performed by the Governance Committee of the Credit Union’s Board of Directors.
